AI Supplementary Terms

These iSales AI Supplementary Terms ("AI Terms") form an integral part of the iSales AI Terms of Service, and any other applicable master services agreement or data processing addendum between you ("you," "your," or "User") and iSales AI ("iSales AI," "we," "us," or "our") (collectively, the "Agreement"). These AI Terms specifically govern your access to and use of any AI Features (as defined below) offered as part of the iSales AI Services, including any AI-powered chatbot functionalities.

By accessing, enabling, or using any AI Features, you hereby expressly acknowledge, accept, and agree to be bound by these AI Terms in addition to the main Agreement. Any terms used herein but not specifically defined shall have the meaning ascribed to them in the Agreement. If there is any conflict between these AI Terms and the main Agreement with respect to AI Features, these AI Terms shall prevail.

1. Definitions

"AI Features" means any and all features, functionalities, tools, and capabilities offered within or as part of the iSales AI Services that utilize artificial intelligence, machine learning, large language models (LLMs), or similar technologies, whether developed by iSales AI or by iSales AI's third-party providers (the "AI Providers"). Such AI Features are typically identified within the Service, applicable documentation, our website, or through the native Telegram bot interface used for managing chatbot settings.
"Input" means any data, text, prompts, instructions, configurations, training snippets, knowledge base content, User Generated Content, or other materials that you provide, submit, or make available for use with, or processing by, the AI Features.
"Output" means any response, text, content, suggestions, translations, summaries, analyses, or other information generated or returned by the AI Features in response to, or based on, the Input.

2. Intellectual Property

iSales AI and its licensors (including AI Providers, as applicable) exclusively own all right, title, and interest in and to the AI Features, including the underlying AI models, algorithms, software, and all associated intellectual property rights. Except for the limited right to use the AI Features as expressly granted in the Agreement and these AI Terms, no other rights, licenses, or permissions to any of the AI Features are granted to you, whether by implication, estoppel, or otherwise. You agree not to attempt to reverse engineer, decompile, or otherwise derive the source code or underlying components of any AI Features or models.

3. Inputs and Outputs

(a) Responsibility for Inputs and Outputs:

You may provide Input to be processed by the AI Features and receive Output in connection with your use of the AI Features. When you use the AI Features, both Input you provide and Output generated are considered your User Generated Content under the main Agreement. You are solely and exclusively responsible for the development, content, legality, accuracy, operation, maintenance, and use of your Input and Output.

(b) Compliance:

In addition to the provisions of the Agreement concerning User Generated Content, you represent, warrant, and covenant that your Input and your use of Output will not: (i) violate any applicable local, state, national, or international law, regulation, or ethical guideline; (ii) violate these AI Terms, the Agreement, or any other applicable iSales AI policy; (iii) infringe, violate, or misappropriate any of our rights or the intellectual property, privacy, publicity, or other rights of any third party; or (iv) be used to create, train, or improve (directly or indirectly) any other AI service or model that competes with iSales AI or its AI Providers.

(c) Nature of Output:

You acknowledge that due to the nature of machine learning and the technologies powering AI Features, Output may not be unique. The AI Features may generate the same or similar output for iSales AI or other users or third parties providing similar Input ("Other Results"). You acknowledge and agree that you have no right, title, or interest in or to any Other Results, and iSales AI and its AI Providers retain all rights to such Other Results. Output may also contain errors, inaccuracies, or reflect biases present in the underlying training data or models.

4. Providing and Improving the AI Features

(a) Data Use for Service Provision and Improvement:

Notwithstanding anything to the contrary in the Agreement, you acknowledge and agree that iSales AI may collect, use, process, and store data related to your interaction with, and use of, the AI Features, including Input and Output. This data may be used by iSales AI to: (i) provide, maintain, and operate the AI Features' functionalities for you; (ii) monitor, improve, modify, develop, and enhance the AI Features, our AI models, and related services (e.g., for fine-tuning, quality control, and developing new capabilities); (iii) comply with applicable laws, regulations, and legal processes; and (iv) enforce these AI Terms, the Agreement, and other applicable policies.

(b) AI Provider Data Use:

iSales AI utilizes AI Providers to deliver certain AI Features. While these AI Providers may process Input and Output to provide the AI Features, iSales AI contractually requires its AI Providers not to use your Input or Output (which constitutes your User Generated Content) to train or otherwise improve such AI Provider's generally available services or models for other customers, unless such use is aggregated and anonymized in a way that it cannot be attributed back to you or identify any individual, or unless otherwise explicitly agreed or required by law. Specific AI Provider terms may apply and will be made available where applicable.

(c) Use Restrictions:

You may not use the AI Features or Output:

To develop, train, or improve foundation models, large scale models, or any other AI system or service that competes with iSales AI, its AI Features, or its AI Providers.
In any way that is intended to or has the effect of misleading any person into believing that Output from the Services was solely human-generated, without clear disclosure of AI involvement where appropriate or required by law.
To generate or disseminate spam, unsolicited bulk messages, or content for disinformation campaigns, hate speech, harassment, or illegal activities.
For any high-risk activities where failure could lead to death, personal injury, or severe property or environmental damage, without express prior written consent from iSales AI.
In a manner that violates the Agreement, any technical documentation, usage guidelines provided by iSales AI, or any applicable third-party AI Provider policies (as referenced in Section 8).
To attempt to discover the underlying components, source code, or trade secrets of the AI Features or models.

5. Accuracy and Disclaimers

(a) No Warranty of Accuracy:

ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING ARE RAPIDLY EVOLVING FIELDS. ISALES AI MAKES NO REPRESENTATION, WARRANTY, GUARANTEE, OR INDEMNITY AS TO THE ACCURACY, RELIABILITY, COMPLETENESS, CURRENCY, SUITABILITY, LEGALITY, OR APPROPRIATENESS OF ANY OUTPUT OR OTHER INFORMATION OBTAINED THROUGH THE AI FEATURES. OUTPUTS ARE GENERATED ON A PROBABILISTIC BASIS AND MAY BE INACCURATE, INCOMPLETE, MISLEADING, OR CONTAIN "HALLUCINATIONS" (I.E., OUTPUTS THAT APPEAR FACTUAL BUT ARE NOT).

(b) User Responsibility for Verification:

YOU UNDERSTAND AND AGREE THAT ANY OUTPUT OR OTHER MATERIAL AND/OR DATA OBTAINED THROUGH THE USE OF ANY AI FEATURES IS DONE AT YOUR SOLE RISK AND DISCRETION. YOU SHOULD NOT RELY ON FACTUAL ASSERTIONS OR ANY INFORMATION IN OUTPUT WITHOUT INDEPENDENTLY VERIFYING ITS ACCURACY AND APPROPRIATENESS FOR YOUR INTENDED USE. OUTPUT THAT APPEARS ACCURATE BECAUSE OF DETAIL OR SPECIFICITY MAY STILL CONTAIN MATERIAL INACCURACIES.

(c) Limitations of AI Models:

The AI Features, including the underlying models, cannot dynamically retrieve real-time information beyond their last training date. Output may not account for events, changes to underlying facts, or developments occurring after the applicable model was trained.

(d) No Creation of Warranty:

No information or advice, whether oral or written, obtained by you from iSales AI or through the AI Features shall create any warranty not expressly made herein or in the main Agreement. THE DISCLAIMERS OF WARRANTIES IN THE MAIN AGREEMENT APPLY FULLY TO THE AI FEATURES.

6. Availability and Service Levels

Notwithstanding anything to the contrary in your Agreement or any iSales AI Service Level Agreement (SLA) that may be applicable, any downtime, unavailability, or performance degradation of the AI Features that results directly or indirectly from a failure, interruption, or limitation of a third-party AI Provider's service, or any other third-party service upon which the AI Features rely, will not be included in Uptime calculations or be considered a breach of any SLA commitments by iSales AI. Access to AI Features may also be subject to limitations imposed by AI Providers.

7. Usage Limits and Monitoring

iSales AI reserves the right to monitor your usage of the AI Features. We may, in our sole discretion, impose, modify, or enforce usage limits (e.g., rate limits, token limits, query limits) on your access to or use of the AI Features. We may also limit, suspend, or terminate your access to the AI Features if iSales AI reasonably believes that your usage: (i) may bypass or circumvent any such limits; (ii) negatively affects or could negatively affect the security, operability, stability, or integrity of the Services, the AI Features, or our systems or those of other users or our AI Providers; (iii) violates these AI Terms, the Agreement, or any applicable law or policy; or (iv) otherwise imposes or could impose liability on iSales AI or its AI Providers.

8. Third-Party Provider Policies

Your use of the AI Features may be subject to the terms, policies, and usage guidelines of our AI Providers. If you choose to use the AI Features, you agree to comply with all such applicable third-party terms. This may include, but is not limited to, policies such as:

OpenAI's Sharing and Publication Policy and Community Guidelines (if OpenAI models are used).
The Code of Conduct for Azure OpenAI Service (if Azure OpenAI models are used).
Any other terms applicable to the use of services provided by other AI Providers that iSales AI may utilize.

iSales AI will use reasonable efforts to inform you of applicable third-party policies, but it is your responsibility to be aware of and comply with them. Violation of such third-party policies may result in suspension or termination of your access to the AI Features.

9. Miscellaneous

(a) Modifications:

iSales AI reserves the right, at its sole discretion, to modify or replace any of these AI Terms, or to change, suspend, or discontinue any or all AI Features (including without limitation, the availability of any feature, underlying model, or content) at any time by posting a notice on the iSales AI websites or Service, by sending you an email, or through other appropriate communication channels. While we will endeavor to provide reasonable notice of material changes, it is your responsibility to check these AI Terms periodically for updates.

(b) Acceptance of Changes:

Your continued use of the AI Features following the posting or notification of any changes to these AI Terms constitutes your unconditional acceptance of those changes. If you do not agree with any modification, your sole remedy is to discontinue use of the AI Features.

(c) Additional Fees:

You acknowledge that continued access to and use of the AI Features, or certain aspects or tiers thereof, may be subject to your agreement to pay additional fees as determined by iSales AI. Any applicable fees will be communicated to you.

(d) Optional Nature:

Use of the AI Features is optional. You are not required to use any AI Feature unless you choose to do so.

(e) Severability:

If any provision of these AI Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these AI Terms will otherwise remain in full force and effect and enforceable.
